How does the MOU and Sales Agreements Differ?

When it comes to buying and selling property in Dubai there are multiple documents that the buyers and sellers come across, among the many MOU (form F) and the Sales agreement are two of the most common documents that you might find.

Comparing these two documents, they will start to look the same and to the regular person, there might be no difference. What are the differences and their usage in property transactions? Study these documents to have a better comprehension of their usage.

What is a MOU?

The Memorandum Of Understanding is a document that is agreed upon and signed by the seller and the buyer. This is also known as the form F, regulated by the RERA Dubai, it outlines the crucial information of the transaction and the parties involved in it.

This document will only be valid when both the parties sign it, then it will have a 30-day window to go forward with the transaction. Once the MOU validity expires, the terms and the document are not recognised as a valid document and a new MOU should be signed.

The primary function of the MOU is to outline the terms and conditions that outline the transaction in general terms. It makes sure that all the parties involved in the transaction generally understand the behaviour of it.

  • Important dates of the property transfer.

  • Specific conditions that are to be met.

  • Responsibilities that each party holds.

  • Signs of all parties with the date.

  • Drafts in both English and Arabic.

  • Any authorised representative involved in the transaction (if any).

  • Selling price stated in UAE Dirhams (AED).

What is a Sales Agreement?

Even if the Sales Agreement is similar to a MOU at the first glance it is a different document in comparison. This document is a necessity in property transactions while the outlines and the conditions that are mentioned are legally enforceable. 

The conditions and the responsibility of each party should be specifically stated, including payment schedules & personal information of every party involved. This document will be the document that primarily regulates and paves the way for the transaction to take place.

Difference between a MOU and a Sales Agreement.

The Sales Agreement is a document that is legally binding all involved parties to the responsibilities and conditions that are agreed. It specifies every term and condition it holds. A Sales Agreement is drawn to specifically state the terms and conditions that are agreed upon, these will legally bind the buyer and seller throughout the course of a specific transaction.

While the MOU is a regulated document for a property transaction while it outlines the transaction where the involved parties have the liberty to choose what parts would be legally bound specifically as the document remains as a general guideline for the transaction. It builds a relationship between the buyer and the seller presenting the general guidelines to a transaction that builds a regulated relationship going forward with the deal.
